The Foundation of BPM

What Is a Registered Agent — and Why Does It Matter?

A registered agent is the official legal contact for your business — required by Texas law for every LLC and corporation. It's the address where lawsuits, court documents, and state notices are delivered. NFS fills that role for you.

Texas law mandates that every LLC and corporation maintain a registered agent at all times. This ensures the state and courts always have a reliable way to reach your business. Operating without one — or with an unavailable agent — puts your business's good standing at serious risk.

Technically yes, but doing so makes your home address a permanent part of the public record. You'd also be required to be present at that address during all business hours, every business day. Using NFS as your registered agent keeps your address private and ensures nothing is ever missed.

Missing a lawsuit notice can result in a default judgment against your business — the court may rule against you simply because you didn't respond. Missing state compliance notices can lead to penalties, fees, and eventually the forfeiture of your business's right to operate in Texas.

NFS receives all legal documents and official government correspondence on your behalf, then promptly notifies you of anything received. We help you understand what action — if any — is required, so you're never caught off guard by something important.

Yes — Registered Agent Services are the cornerstone of the Business Priority Membership. Your annual membership keeps your registered agent coverage active and continuously renewed, so there is never a lapse in your legal protection or business good standing.

⚖️

Service of Process

Receives lawsuits, subpoenas, and legal documents on behalf of your business — then notifies you immediately so you can respond before any deadlines pass.

🏛️

Government Correspondence

Handles all official mail from the Texas Secretary of State and Texas Comptroller, including compliance notices, tax correspondence, and renewal reminders.

🔒

Address Privacy

NFS's address — not yours — appears on public state records as your business's legal contact point. Your home or office stays off the public register entirely.

🔄

Continuous Annual Coverage

Your BPM automatically renews on January 1st each year, ensuring your registered agent coverage never lapses and your business maintains good standing without interruption.

Why It Matters

Staying Compliant in Texas Isn't Optional — But It Doesn't Have to Be Stressful

Texas asks something of every active business, every single year. Miss a filing and the consequences add up quickly. The good news: with your Business Priority Membership, NFS tracks every deadline and handles the paperwork — so compliance simply happens in the background.

What's Really at Stake

Compliance Protects More Than Your Paperwork — It Protects You.

In Texas, a business that falls behind on its annual filings can lose its “good standing” with the state. Left unresolved, the Texas Comptroller can forfeit your business's right to operate entirely — and when that happens, the protections you formed your LLC or corporation to get can disappear right along with it.

That's why ongoing compliance matters. It keeps your liability shield intact, your contracts enforceable, and your business ready to grow, borrow, or sell without nasty surprises.

As a BPM member, you don't have to track any of this yourself. NFS monitors your obligations and keeps every entity you own in good standing, year after year.

⚠️
Penalties & Interest

Late franchise tax reports start at a $50 penalty plus interest; unpaid tax adds 5%–10% on top, climbing the longer it goes unresolved.

🚫
Loss of Good Standing

Missed filings can forfeit your right to do business in Texas — freezing your ability to sign contracts, get loans, or operate legally.

🛡️
Personal Liability Exposure

Operating a forfeited entity can pierce your liability shield, putting your personal assets at risk for business obligations.

📄
Voided Contracts

Agreements entered while forfeited may be unenforceable — and reinstatement requires settling all back reports, taxes, and fees first.

Texas Franchise Tax Filing

The Texas Franchise Tax is an annual privilege tax imposed on most businesses operating in Texas — including LLCs, corporations, and limited partnerships. It's based on your business's revenue margin, not pure income, and a filing is required each year even if no tax is owed. For 2026 reports, entities with annualized revenue at or below $2.65 million owe no tax — but must still file a Public Information Report to stay in good standing.

As a BPM member, NFS prepares and files your Franchise Tax Report and Public Information Report on your behalf. You remain responsible for any tax amount or state fees due — but the preparation and submission is fully handled for you.

  • Annual deadline: May 15 for most entities
  • Applies to LLCs, corporations, and partnerships
  • $2.65M no-tax-due threshold for 2026 reports
  • Public Information Report still required below the threshold
  • Late filing triggers a $50 penalty plus 5%–10% on unpaid tax
  • Preparation & filing included in BPM at no extra cost
